Terms of Service

Welcome to Vector Referral ("Vector Referral," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Vector Referral application and related services (the "Service").

By installing, accessing, or using Vector Referral through the Sikka marketplace, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility and Accounts

  • You must be a legal entity or dental professional authorized to enter into contracts on behalf of a dental practice.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
  • You agree to provide accurate and up-to-date information when creating and maintaining your account.

2. Use of the Service

  • The Service is intended for professional dental use only, including referral management, communication, and related workflows between general practices and specialists.
  • You agree not to misuse the Service, including but not limited to: attempting to gain unauthorized access, reverse engineering, reselling or sublicensing the Service, or using it for any unlawful or harmful purpose.
  • We may update, modify, or discontinue features of the Service at any time, with or without notice, provided such changes do not materially degrade core functionality.

3. Integration with Practice Management Systems

  • Vector Referral connects to your practice management system through Sikka's integration.
  • You authorize Vector Referral to access, process, and store practice and patient information as necessary to provide the Service, subject to our Privacy Policy and applicable law.
  • You are responsible for ensuring that your use of the Service complies with your internal policies and any third‑party agreements, including your PMS vendor agreements.

4. Data and Patient Information

  • You retain ownership of your practice data and any patient information processed via the Service.
  • You grant Vector Referral a limited, non-exclusive license to use, store, and process such data solely to provide, maintain, secure, and improve the Service.
  • You are responsible for obtaining all necessary consents and authorizations to use patient information in connection with the Service and for complying with all applicable privacy and data protection laws.

5. Fees and Payment

  • Fees, if any, for using Vector Referral will be as listed in the Sikka marketplace or in a separate agreement between you and us.
  • Billing and payment may be handled directly through Sikka or through our billing provider, as applicable.
  • Failure to pay applicable fees may result in suspension or termination of your access to the Service.

6. Intellectual Property

  • Vector Referral, including all software, interfaces, designs, logos, and content (excluding your data), is owned by us or our licensors and is protected by intellectual property laws.
  • You receive a limited, revocable, non-transferable license to use the Service for your internal practice purposes only.
  • You may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted in these Terms.

7. Disclaimers

  • The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
  • We do not provide medical or clinical advice and are not responsible for any clinical decisions, diagnoses, or treatment plans.
  • You are solely responsible for all clinical decisions and for verifying the accuracy and completeness of any information used from the Service.

8. Limitation of Liability

  • To the maximum extent permitted by law, Vector Referral will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from or related to your use of the Service.
  • Our total liability for any claims arising out of or relating to the Service will not exceed the amount you paid for the Service in the six (6) months preceding the event giving rise to the claim.

9. Indemnification

  • You agree to indemnify and hold harmless Vector Referral, its affiliates, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

10. Term and Termination

  • These Terms apply from the time you first install or access the Service and continue until terminated.
  • You may stop using the Service at any time and request cancellation pursuant to our Cancellation Policy.
  • We may suspend or terminate your access to the Service if you materially breach these Terms or use the Service in a manner that creates legal or security risk.

11. Changes to Terms

  • We may update these Terms from time to time. When we do, we will update the "Last Updated" date above.
  • Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

  • These Terms will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles.
  • Any disputes will be resolved through good-faith negotiations. If not resolved, they will be submitted to binding arbitration or the courts located in Los Angeles County, California, unless otherwise required by law.
